Please read these terms carefully before using our website and services. By accessing mamahala.ca, you agree to be bound by this agreement.

Agreement & Operator Identity

These Terms and Conditions (“Agreement”) govern your use of the mamahala.ca website (“Website”) and all related products and services (collectively, “Services”) operated by Mama Hala Consulting Group (registered in Ontario, Canada) and Mama Hala Project Management (registered in Dubai, UAE), collectively operating under the trade name “Mama Hala Consulting” (“Operator”, “we”, “us”, or “our”). We are a professional counseling practice operated by Dr. Hala Ali.

Mama Hala Consulting Group (Canada) and Mama Hala Project Management (UAE) are registered and operate in both Canada and the UAE, providing professional counseling services both in-person and online to clients worldwide under the trade name “Mama Hala Consulting.”

This Agreement is legally binding between you (“User”, “you”, or “your”) and the Operator. By accessing or using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. This Agreement constitutes a valid contract even though it is electronic and not physically signed. If you are entering into this Agreement on behalf of a business or legal entity, you represent that you have the authority to bind such entity. If you do not agree, you must not access or use the Website and Services.

Professional & Clinical Disclaimers

Dr. Hala Ali is a qualified professional counselor licensed to practice in Canada and the United Arab Emirates. The counseling services provided through Mama Hala Consulting are professional in nature and delivered under the standards and regulations of these jurisdictions.

Important disclaimers:

• Counseling services are NOT a substitute for emergency medical or psychiatric care. If you are in crisis or experiencing a medical emergency, contact your local emergency services immediately (see Crisis & Emergency section below). • Counseling is NOT a substitute for medical advice, diagnosis, or treatment from a licensed physician or psychiatrist. Dr. Hala does not prescribe medication. • Individual results vary. The effectiveness of counseling depends on many factors, including your individual circumstances, commitment, and willingness to engage in the process. No specific outcomes or results are guaranteed. • The information provided through the Website, Academy courses, toolkits, quizzes, and AI Companion is for educational and informational purposes and does not constitute clinical advice for your specific situation outside of a formal counseling session. • The counseling relationship is established only through a formal booking and intake process, not through casual interaction with the Website or AI features.

Dr. Hala and Mama Hala Consulting are not equipped to handle emergencies. Online sessions, the AI Companion, and other digital features are not monitored in real-time and should never be used in place of emergency services. If you are in crisis during a scheduled session, Dr. Hala will assist you in contacting appropriate emergency resources.

Services Description

Mama Hala Consulting offers the following categories of Services, each subject to specific terms:

aIndividual & Family Counseling — Professional counseling sessions conducted in-person (Ottawa, Canada or Dubai, UAE) or online via secure video conferencing. Sessions are conducted by Dr. Hala Ali under her professional credentials and licensing.
bMama Hala Academy — Online educational courses and programs on personal development, relationships, and well-being. Course content is educational in nature and does not replace individualized counseling.
cToolkits & Resources — Downloadable digital resources including guides, worksheets, and self-help materials. These are for informational and educational purposes only.
dQuizzes & Assessments — Self-assessment tools designed for personal reflection and awareness. These are NOT clinical diagnostic instruments and should not be interpreted as clinical assessments or diagnoses.
eEvents & Workshops — Online and in-person educational events, workshops, and group sessions on various topics related to mental health and personal development.
fAI Chat Companion — An AI-powered conversational tool (powered by a third-party AI service) for general informational support related to academy content. It is NOT a therapist, counselor, or clinical tool. See AI Services section for full terms.

AI Services Disclosure & Terms

Our Services incorporate third-party artificial intelligence technology in specific, limited capacities:

• The AI Chat Companion provides general informational responses related to our academy courses and resources. It is designed for educational support only. • AI assists with generating session preparation tips and intake summaries from information you provide during booking. • AI supports administrative tasks such as invoice descriptions and email drafting.

Terms of use for AI features:

• The AI is NOT a licensed counselor, therapist, psychologist, or medical professional. • AI responses do NOT constitute professional advice, clinical diagnosis, therapeutic intervention, or a substitute for any professional service. • Do NOT rely on AI responses for critical health, safety, or life decisions. • All clinical and counseling decisions are made exclusively by Dr. Hala Ali. • You have the right to request human review of any AI-generated content related to your care. • AI-generated content may contain errors or limitations. It is provided on an “as-is” basis without warranties of accuracy. • Data submitted to AI features is processed by a third-party AI service provider based in the United States. See our Privacy Policy for details on data handling.

Telehealth & Remote Sessions

By booking an online counseling session, you provide informed consent to receive professional counseling services via telehealth (video conferencing). You acknowledge and agree to the following:

• Technology: Online sessions are conducted via a secure, encrypted video conferencing platform. You are responsible for having a stable internet connection, a device with camera and microphone, and a suitable private space. • Privacy Limitations: While we use secure, encrypted platforms, no internet-based communication is completely risk-free. There is an inherent risk that electronic communications may be intercepted by third parties. • Recording: Neither party may record sessions without the express written consent of the other party. Unauthorized recording is strictly prohibited and may constitute a violation of law. • Session Conduct: You must be in a private, quiet space free from interruptions. Sessions begin and end at the scheduled time. Late arrivals will not receive extended session time. • Jurisdiction: Online sessions are provided from Dr. Hala’s licensed jurisdictions (Canada and UAE). Dr. Hala’s counseling credentials and professional standards apply. If you are located in a jurisdiction other than Canada or the UAE, you acknowledge that Dr. Hala may not hold a local license in your jurisdiction, and that sessions are provided under the professional standards and regulations of Canada and/or the UAE. • Local Compliance: If your country or region restricts the receipt of remote counseling services from internationally licensed professionals, it is your responsibility to verify compliance with your local laws before booking a session.

International Services & Licensing

Dr. Hala Ali is a qualified professional counselor licensed to practice in Canada and the United Arab Emirates. All counseling services, whether delivered in-person or online, are provided under the professional standards and regulatory frameworks of these jurisdictions.

For clients located outside Canada and the UAE:

• Services are delivered as professional counseling from Dr. Hala’s licensed jurisdictions. Dr. Hala does not represent or imply local licensure in any jurisdiction other than Canada and the UAE. • The standards of care, ethical guidelines, and professional conduct applicable to Dr. Hala’s practice are those of her licensing jurisdictions. • You acknowledge that you are voluntarily seeking services from an internationally licensed professional and that you have considered any implications under your local laws. • If your jurisdiction requires counselors to hold a local license to provide services to its residents, you are responsible for evaluating whether receiving cross-border counseling is appropriate for your situation.

This transparency ensures you can make an informed decision about engaging our Services from anywhere in the world.

Accounts & Membership

If you create an account on the Website (including academy enrollment or booking management), you are responsible for maintaining the security of your account and for all activities that occur under it. We may monitor and review new accounts before granting access to Services.

Providing false contact information of any kind may result in the termination of your account. You must immediately notify us at admin@mamahala.ca of any unauthorized use of your account or any other breach of security.

We will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

User Content

We do not own any data, information, or material (“Content”) that you submit through the Website in the course of using the Services. You retain full ownership of your Content and are solely responsible for its accuracy, quality, legality, and intellectual property rights.

You grant us a limited, non-exclusive, non-transferable license to access, store, process, and display your Content solely as required to provide the Services to you. This license is limited to service delivery purposes and does not extend to commercial, marketing, or any other use.

Specifically regarding sensitive and health-related content:

• Information shared during counseling sessions, including session notes and AI-generated intake summaries, is used exclusively for the purpose of providing and improving your counseling care. • We will NEVER use your counseling content, health information, or personal disclosures for marketing, advertising, promotional purposes, or any purpose other than delivering the Services you have requested. • We may, without obligation, refuse or remove any Content that violates our policies or is harmful or objectionable.

Payments, Cancellation & Refunds

Payment Processing: All payments are processed through a PCI-DSS Level 1 certified payment processor. We do not store credit card numbers on our servers. Payments are accepted in multiple currencies, including Canadian Dollars (CAD) and UAE Dirhams (AED), depending on your region.

Free Consultations: Complimentary initial consultations are available with limited scope, allowing you to evaluate our Services before making a payment commitment.

Cancellation Policy:

• A minimum of 24 hours’ notice is required for any appointment changes or cancellations. • Late cancellations (less than 24 hours before the scheduled appointment) will be charged a fee of 50% of the full session rate. • No-shows without prior notice will be charged the full session fee. • One complimentary reschedule per booking is permitted with at least 24 hours’ notice.

Refund Policy: All payments are final and non-refundable under any circumstances, including but not limited to the termination of this Agreement. This applies to counseling sessions, academy enrollments, toolkit purchases, and any other paid Services.

Disputes: Payment processing issues should be resolved directly with the payment processor. All other payment-related questions or disputes should be directed to us at admin@mamahala.ca.

These payment and cancellation terms comply with the Ontario Consumer Protection Act (2002) and the UAE Consumer Protection Law (Federal Law No. 15 of 2020).

Prohibited Uses

In addition to other terms in this Agreement, you are prohibited from using the Website and Services:

aFor any unlawful purpose or to solicit others to perform unlawful acts
bTo violate any international, federal, provincial, state, or local regulations, rules, or laws
cTo infringe upon or violate our intellectual property rights or those of others
dTo harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability
eTo submit false or misleading information
fTo upload or transmit viruses, malware, or any malicious code
gTo spam, phish, scrape, crawl, or engage in any automated data collection
hFor any obscene, immoral, or offensive purpose
iTo interfere with or circumvent the security features of the Website and Services
jTo record, screenshot, or distribute counseling session content without express written consent
kTo share, redistribute, or publicly post content from paid Services (Academy, Toolkits) without authorization
lTo use the Services in any manner that violates UAE public morals and values as defined under UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021)

We reserve the right to terminate your access to the Website and Services immediately for violating any of the above prohibitions, without prior notice or refund.

Intellectual Property Rights

This Agreement does not transfer to you any intellectual property owned by the Operator or third parties. All rights, titles, and interests in such property remain solely with the Operator.

All content on the Website — including trademarks, service marks, logos, text, graphics, course materials, toolkit content, quiz content, video recordings, and software — is the property of Mama Hala Consulting or its licensors and is protected by Canadian, UAE, and international copyright and intellectual property laws.

Academy courses, toolkit resources, and other paid digital content are licensed to you for personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without prior written permission.

Limitation of Liability & Warranty Disclaimer

THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Specifically:

• We do not guarantee or warrant any specific outcomes or results from counseling sessions. The effectiveness of counseling depends on individual circumstances, effort, and engagement. • Educational content (Academy courses, toolkits, quizzes) is provided for informational purposes and we make no representations regarding specific results from using these materials. • AI-generated content is provided without guarantees of accuracy, completeness, or suitability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO THE OPERATOR IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Force Majeure: The Operator shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, third-party service failures, or acts of war or terrorism.

Nothing in this section shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited by applicable law (including consumer protection laws of Ontario and the UAE).

Indemnification

You agree to indemnify, defend, and hold harmless the Operator, its contractors, licensors, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of:

• Your use of the Website and Services • Your violation of this Agreement • Your violation of any third-party rights, including intellectual property rights • Any content you submit through the Website • Any misrepresentation you make regarding your eligibility or authority to use the Services

Governing Law & Dispute Resolution

This Agreement is governed by the following laws depending on your location and the Services received:

• For clients in Canada: This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The exclusive jurisdiction and venue shall be the courts located in Ontario, Canada. • For clients in the UAE: Disputes shall be governed by the federal laws of the United Arab Emirates, and the competent courts in Dubai shall have jurisdiction. • For international clients: This Agreement shall be governed by the laws of Ontario, Canada (as the Operator’s primary jurisdiction of registration). However, mandatory consumer protection laws of your home jurisdiction are preserved to the extent required by applicable law.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through informal negotiation for a period of at least 30 days from the date of written notice of the dispute. If informal resolution fails, either party may pursue formal proceedings in the appropriate jurisdiction.

Alternatively, parties may agree to virtual mediation conducted by a mutually agreed-upon mediator.

You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement (applicable in Canadian proceedings). The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Privacy of Children

We do not knowingly collect Personal Information from children under the age of 13 (Canada) or process sensitive data of minors under 18 (UAE) without verified parental or guardian consent.

If you are under the applicable age threshold in your jurisdiction, please do not submit any Personal Information through the Website and Services without the involvement of a parent or legal guardian.

Where our counseling services involve minors (e.g., family counseling), parental or guardian consent is obtained before services begin. We encourage parents and legal guardians to actively monitor their children’s internet usage.

Electronic Communications Consent

By using our Services, you consent to receive electronic communications from us, including:

• Transactional communications: Booking confirmations, session reminders (24-hour and 1-hour), payment receipts, account notifications, and service-related updates. These are sent as part of our contractual obligation to you. • Marketing communications (opt-in only): Newsletters, service announcements, event invitations, and promotional content. These are sent only with your express consent, in compliance with CASL and applicable anti-spam laws. • WhatsApp communications: If you initiate contact via WhatsApp or provide your WhatsApp number, you consent to receiving session-related messages through this channel.

Every marketing communication includes a clear, one-click unsubscribe option. We honor all unsubscribe requests within 10 business days. You may also contact us at admin@mamahala.ca to update your communication preferences at any time.

Changes & Amendments

We reserve the right to modify this Agreement at any time. When we make changes:

• We will update the “Effective Date” displayed at the top of this page. • For material changes that significantly affect your rights or obligations, we will provide at least 30 days’ advance notice via email before the changes take effect. • Your continued use of the Website and Services after the effective date of the revised Agreement constitutes your acceptance of the changes. • New features or services introduced through the Website will be subject to the terms of this Agreement as amended.

If you do not agree with any revised terms, you should discontinue use of the Services before the changes take effect and contact us regarding any outstanding matters.

General Provisions

Severability: If any provision of this Agreement is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Entire Agreement: This Agreement, together with our Privacy Policy and Booking Policy, constitutes the entire agreement between you and the Operator regarding the use of the Website and Services, and supersedes all prior agreements and understandings.

Survival: The following sections survive the termination of this Agreement: Professional Disclaimers, Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive termination.

Assignment: We may assign or transfer this Agreement, in whole or in part, without your prior consent. You may not assign or transfer your rights or obligations under this Agreement without our written consent.

Waiver: The failure of the Operator to enforce any provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it at a later time.

Headings: Section headings are for convenience only and do not affect the interpretation of this Agreement.
